I/we now request that in your capacity as Agent for the Seller, you supply me/us with a copy of any information memorandum ("the memorandum") describing the Seller's property. I/we undertake that the memorandum will be used for no purpose other than to assist in determining whether I/we wish to purchase the said business.

I/we agree that the memorandum and any other material made available to me/us by Childcare Property Sales or the Seller or its Solicitor or obtained in meeting with any of those parties will remain strictly confidential.

To maintain the confidentiality of the material being made available to me/us I/we agree:

a) that the material will not be produced, transmitted to or discussed with any parties except our legal and accounting advisors, and that such parties will be bound to the terms of this agreement.

b) not to make use of any of the information obtained, to improve, construct, or change another present or future business venture that I/we or associates are/or will be engaged in.

c) that the material and Business name and address will not be provided or discussed with Child Care Management Groups or other child care centre owners.

d) to undertake to return all material (and any copies taken) to Childcare Property Sales.

Although I/we understand that Childcare Property Sales and the Seller and its Solicitor believe that the material to be provided is accurate to the best of their knowledge that no representation or warranty has been made as to the accuracy or completeness of the material. I/we agree that neither Childcare Property Sales nor the Seller nor its Solicitor has any liability or any of our representatives arising from the selection or use of the material provided by us or our associates.
